Terms of Service

These Terms are an agreement between you and Top3 LLC, a Utah limited liability company (“Top3,” “we,” or “us”). By saving a card for a ranking run, submitting a business website and location, using a proof decision page, or using a paid service, you agree to these Terms and the Privacy Policy.
1. Service scope
The direct AI-ranking service covers one business, one market, and three exact initial buyer questions selected for the submitted business and location. By submitting the website and location, the customer authorizes Top3 to research public business information and prepare transparent, policy-compliant managed participation. Before public work begins, a Top3 operator must review the factual sources, questions, supported and prohibited claims, voice, disclosure model, and correction contact. Top3 researches the category, performs human-led and policy-compliant participation on Reddit, Quora, and other relevant communities, monitors covered AI systems, and prepares evidence if a result qualifies. After paid activation, Top3 maintains the winning question, continues the other initial questions, monitors covered systems, permits one question rotation per month, and provides a monthly evidence report.
2. Qualifying result
A result qualifies only when it uses one exact initial buyer question recorded for the run; names the customer’s business among the first three recommendations; appears on ChatGPT, Gemini, Perplexity, Claude, or Copilot; shows the engine, exact question, visible answer, context, and capture time; and is human-reviewed and rechecked within 72 hours before delivery. The observed position is the recommendation order visible in the captured answer.
A qualifying result is an observed and documented result. It is not a promise of permanent placement, every engine, every account or location context, every question variation, or a fixed completion date. AI outputs can change without notice.
3. Initial $0 run and saved card
Completing Stripe Checkout in Setup mode saves a payment method but creates no subscription and charges $0. The customer then submits the business website and primary location or service area. That two-field submission is the final required customer setup step; Top3 takes over from there. A Top3 operator must complete the internal factual and disclosure review before public work begins. The saved payment method is associated with the specific ranking run. Before a subscription exists, the customer may use the secure workspace to close the free run and remove that saved method. If no qualifying proof is delivered, or the customer does not affirmatively continue, Top3 will not create the $497 monthly subscription for that run.
4. Customer authorization and monthly billing
After proof is delivered, only the separate decision control labeled “Yes, Continue at $497/Month” authorizes Top3 to create the monthly subscription. Viewing proof, receiving email or SMS, silence, or clicking “Not Now” is not authorization. The first successful Stripe invoice activates ongoing service. A subscription event without a successful invoice is not treated as paid activation.
After activation, Stripe bills $497 monthly until canceled. Taxes may be added where required. Payment authentication or an updated method may be required. If payment fails, service may pause until payment succeeds.
5. Cancellation and refunds
You may cancel through the Stripe billing portal or by emailing hello@top3.cloud. Cancellation normally takes effect at the end of the paid billing period and stops future renewals. Except for duplicate charges, billing errors, or refunds required by law, amounts for a period already started are non-refundable. See the Billing, Refund, and Cancellation Policy.
6. Customer responsibilities
You must submit the correct public website and location, have authority to act for the business, and promptly notify Top3 of inaccurate, unsupported, or outdated information. You may not ask Top3 to fabricate experience, reviews, testimonials, credentials, prices, or comparative claims. You are responsible for licenses, disclosures, and advertising rules that apply to your industry.
7. Authenticity and platform compliance
Top3 does not promise independent engagement and does not offer bots, fake votes, purchased accounts, impersonation, coordinated manipulation, fabricated testimonials, or undisclosed astroturfing. Managed activity may be labeled or disclosed where platform rules or context require. Top3 may refuse, revise, remove, or stop activity that creates legal, safety, reputation, or platform-policy risk.
8. Content and public evidence
You grant Top3 a limited license to use accurate business information you supply and public information from the submitted website and supportable public sources to perform the service. Top3 owns its methods, templates, internal records, and original work product; third-party platforms and users retain their own rights. Public posts and answers remain subject to platform moderation and may be changed or removed. Top3 may retain screenshots and audit records to document delivery, internal review, billing, disputes, and compliance.
9. Third-party services
The service depends on systems Top3 does not control, including Reddit, Quora, AI providers, Stripe, hosting, email, SMS, analytics, and advertising platforms. Their terms and availability apply. Top3 is not responsible for their algorithm changes, moderation decisions, outages, or removal of content.
10. Disclaimers
Except for the specific initial financial guarantee described above, the service is provided “as is” and “as available.” To the extent permitted by law, Top3 disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. Top3 does not guarantee sales, leads, revenue, traffic, independent engagement, or continued AI placement.
11. Limitation of liability
To the extent permitted by law, Top3 will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. Top3’s aggregate liability arising from the direct service will not exceed amounts actually paid by the customer to Top3 for that service during the three months before the event giving rise to the claim. These limits do not apply where prohibited by law.
12. Suspension and termination
Top3 may reject or stop a run for inaccurate information, prohibited content, platform risk, abuse, nonpayment, illegality, or material breach. If Top3 ends an active paid subscription without customer breach, Top3 may provide a prorated refund for the unused portion of the current period. Provisions concerning payment, ownership, records, disclaimers, liability, and disputes survive.
13. Existing and agency arrangements
Subscriptions purchased before August 12, 2026 remain governed by the offer and financial terms accepted when purchased; this update does not move those subscriptions to the direct AI-ranking product. Agency wholesale customers are governed by their signed partner agreement and the separate partner lane. Existing Stripe prices and subscriptions are not converted by these Terms.
14. General
Utah law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, each party will give written notice and allow 30 days for informal resolution. If any provision is unenforceable, the remainder stays effective. Neither party may assign these Terms without the other party’s consent, except Top3 may assign them in connection with a merger, financing, reorganization, or sale of substantially all assets. Updates apply prospectively and material changes will be communicated where required.
